@Owl @mkultra @doctorsex @BigDuck @Boomerman @Chuckie_ar_la I would be reiterating my last post here about LLC’s, but if I had to guess he started taking a critical eye at how airtight their ‘company’ was in recordkeeping and legal preparedness and said “guys, holy shit, we’d be massacred if we had to present this to anyone, this is a mess, our LLC won’t protect me worth a damn we have to do better”
And that set it off. If the LLC WAS his, then it’s his ass that’s on the line if they got sued, and if their recordkeeping sucked, or there was too much mingling of funds, no established payroll, etc. then the claimants could end up taking his house out from under him.
That’s all conjecture, though.

@Owl @mkultra @doctorsex @BigDuck @Boomerman @Chuckie_ar_la To be clear here, I’m far from an expert and my experiences in LLCs come from….well, me doing this same thing with MY first venture too.
These days, I usually see them when guys buy a plane together, establish a flight club, etc. And there’s no shortage of “nah man it’s cool YOU be the one to file the paperwork”…and that should TERRIFY you. I wouldn’t do that kind of thing, because it’s your livelihood that they’ll come after when something bad happens.
Oops, someone in the club let his stepdaughter out of the plane and she walked into a prop? Well, her mom is suing the LLC, and since you and your friends failed to uphold a high standard of separation between your funds and the “company’s”. They call it “piercing the corporate veil”.
In that case, they’re going to point to things like you putting “company” items on your personal credit card, or borrowing the plane “off the books” and not paying the LLC for the time you flew it as proof that it’s just a flimsy bit of legal fiction, and you and the LLC are essentially one and the same.
Stuff like that IS a pain in the ass, and seems pointless to guys doing it, like “why would I write a check to cash in the business account? I’ll have to give money to the club account for an overhaul anyways!” but it shows that you and the club are distinct, separate entities and your assets are wholly separate.
If I were Gregg I would rightfully be fearful about that kind of thing, he would have a LOT more skin in the game than anybody else.
AGAIN, however, I am a layman and this is NOT my forté. I’d love for more knowledgeable frens here to chip in and help me out.

Someone suggested to me that they sat Conte up to be the fall guy in case something like this would happen.

If you’re truly brother-warriors against the world, I wouldn’t be able to leave a buddy hanging like that, even if the risk seems low. I’d feel guilty that he’s taking the risk upon himself in my place, endangering his children so I can stay comfy.
I keep commenting on this because I’m hoping somewhere out there some future leader of ours is seeing this and learning from it.
Perhaps the internet-poisoned well isn’t the greatest wellspring to draw brotherhood from.

For all their warts and corruption, even labor and trades unions manage to do this for the most part.
There are specific IRS carve outs and tax advantages for fraternal lodges and it seems strange that nobody that I am aware of has taken advantage of this.Woggy's Zeonic Frolicks likes this. -

We got through inferior, monetary, dating suffering but there’s something about physical hardship that enlarges the heart, it builds empathy and camaraderie. You understand a greater breadth of humanity, you remember what it’s like to be like that so you understand the why of people’s behavior.
We never got a war to help reforge us, we all chose these weird branching paths that never put us through true uniform trials like that. We get it in bits and pieces, but without someone to help us through it, I think we turn to anger and miss out on a vital lesson.
Sitting in the trench alone embitters you, but having a brother there too refines you.

Going into business with someone is akin to entering into a marriage, you’re shackled to each other for good. It’s more about whether your compatible in temperament than reputation or competence alone. You’re giving each other wide latitude to screw each other’s lives up, just like a marriage.
Like, you can be personally liable for things like company taxes, or even company obligations if the company doesn’t have the money. I know one guy whose partners screwed up, leading to a surprise $30,000 charge when the contractor they hired ruined things and ghosted.
Depending on how this goes, they might just do better to start a new one and buy the assets, brand, whatever else he owns so they can start fresh and make all their filing absolutely airtight. I’d assume they’re already on legalistic war footing at all times, but….nobody likes keeping up with paperwork, especially when it seems so pointless

@Boomerman In choosing partners though, temperament is important. If I were making an LLC with people, I probably wouldn’t put a very detail-oriented, “autistic” guy on top unless he knows the ins and outs already. I’d pick someone more even-keeled and make the autist the #2 to oversee things, but maybe not give him full authority. The friction that comes from incompatible expectations can lead to this kind of thing (and often does).
But, beggers can’t be choosers, and there aren’t that many people who CAN be relied upon for this kind of thing to begin with. I can hardly find someone worthy of owning property with, much less pledge his “life, property, and sacred honor” or however the old saying goes. People need to respect the level of risk he took on if he’s the sole owner of a gigantic, mile-wide bullseye like the NJP.
That’s….well, I wouldn’t let anyone in my family do it. I wouldn’t even let my brothers get their name in the OA.
